Travel Expenses: Travel expenses incurred are billed in addition to above fees (with client approval).
The client will indemnify and hold The Submission Writer as harmless from and against all claims, demands, regulatory proceeding and/or causes of action and all damages, losses, liabilities, costs (including without limitation settlement costs) or expenses associated there with (including without limitation legal fees on a full indemnity basis) arising from any information or materials supplied to The Submission Writer by the client in connection with or otherwise associated with the provision of Awards Writing services or from any act or thing done by The Submission Writer on the clients instructions, as well as any third party contracts entered into by The Submission Writer on the clients behalf. Without limitations to this clause, the Client acknowledges and agrees that it is its sole responsibility to ensure that the content of any material prepared by The Submission Writer in relation to the Client and its products/Services pursuant to the provision of the Awards Writing services and which is approved by the Client in line with this Agreement, is accurate and correct in all respects. The Submission Writer will indemnify and hold the Client harmless from and against any and all claims, demands, regulatory proceedings and/or cause of action, and all damages, liabilities, costs (including without limitation settlement costs) or expenses associated therewith including without limitation legal fees on a full indemnity basis) arising out of act of bad faith, intentional malfeasance or negligence by The Submission Writer in the provision of Awards Writing services. Without limitation The Submission Writer will be responsible for ensuring that all materials and work prepared and actioned pursuant to its provision of the Writing Services, is approved by the Client.
Either party may terminate this agreement by providing 30 days written notice to the other party. This notice must be given in writing with the agreement concluding 30 days from the date of the notice. Should either party terminate this agreement, the client will be invoiced for work completed to the point of cancellation.
This memorandum may be varied or modified at any time, with written agreement of both parties. If this memorandum reflects you understanding of the terms and conditions, and our unique roles and responsibilities, please sign this agreement (electronic or hard copy) and return to The Submission Writer.
